EXCLUSIVE: Shareholder gives GEBE SBOD illegal order--- SBOD.

~ Order issued even though there was no quorum for a shareholders meeting on Friday.~


PHILIPSBURG:--- The Shareholder representative of NV GEBE has issued an order to the Supervisory Board of Directors instructing them to appoint two of the three candidates to the management position within one week pending the screening of both candidates. The shareholder wants the SBOD to appoint George Willem as CFO and Jimmy Temmer as the COO while they will take another 4 weeks to review the reports submitted to the shareholder by the SBOD, Dr. Sharine Daniel, and the advice of the CGC.
SMN News learned that the SBOD of NV GEBE is fully divided as the remaining members that formed a block has been legally advised not to execute the order that was issued by the government. It should be noted that the shareholder is fully aware that the SBOD of GEBE are fully divided and as such, they needed to hear the members that attended the meeting on Friday.
SMN News has been reliably informed that some of the SBOD members are contending that the shareholder held an illegal meeting with two members, those members are Bienvenido Richardson and Denicio Boasman, even though they were duly informed by letter on Friday, July 2nd, 2021 that the SBOD members were not going to attend the meeting. However, SMN News consulted with other legal minds who said that the shareholder does not need to hold a meeting in order to send instructions to the SBOD.
The SBOD and the company Temporary Manager decided to boycott the meeting that was called by the SBOD at the request of the shareholder.

History repeating itself.

Based on the information SMN News received with the current development of NV GEBE it is clear that history is repeating itself when former Prime Minister William Marlin dismissed the board in 2016. Back then it was the same legal advisor that is advising the current SBOD advised the SBOD in 2016 when they were eventually dismissed.
It is over two years that the SBOD members of NV GEBE are at loggerheads, which involves their legal advisor leading to a number of one-sided media articles these past weeks, while businesses and residents of St. Maarten are plagued with constant power outages.
